By creating an account, purchasing a plan or using any feature of the Platform, the user declares that they have read, understood and fully agree to these Terms, as well as to the Privacy Policy and to the service agreement applicable to their profile.

2. Definitions

  • User: any individual or legal entity that accesses the Platform.

  • Participant: a user who registers for events to hold networking meetings.

Assigning, sharing or selling the account to third parties is prohibited. The Platform may suspend or close accounts that show signs of fraud, misuse or breach of these Terms.

4. Purpose and Nature of the Service

The Platform provides technological infrastructure for organizing and holding online business rounds, including registration management, automatic pairing, video conference rooms, round timing and results indicators.

The Platform acts exclusively as a technology provider and connection environment. It is not a party, intermediary, guarantor or surety to any business, contracts or negotiations entered into between users as a result of the meetings held.

5. Rules of Conduct

The user undertakes to use the Platform ethically, lawfully and respectfully, and is expressly prohibited from:

  • performing acts that violate applicable law or the rights of third parties;

  • using mechanisms that impair the operation, security or availability of the service.

6. Availability and Support

The Platform uses its best efforts to keep the service continuously available, and may carry out scheduled interruptions for maintenance, updates or improvements, with prior notice whenever possible.

It is not responsible for unavailability resulting from fortuitous events (caso fortuito), force majeure, failures of the user's connection or equipment, or failures of third-party services, including video conferencing and payment providers.

7. Intellectual Property

All rights relating to the Platform (including software, source code, trademarks, layout, texts, pairing algorithms and databases) belong exclusively to Rodada de Negócios or to its licensors, and are protected by intellectual property law.

Purchasing any plan grants the user only a personal, temporary, non-exclusive and non-transferable license to use, limited to the term of the purchased plan, without any assignment of rights.

8. Personal Data Protection

The processing of personal data complies with Law No. 13,709/2018 (LGPD, the Brazilian General Data Protection Law) and is detailed in the Privacy Policy, which forms part of these Terms for all purposes.

9. Limitation of Liability

The Platform makes reasonable technical efforts to keep the service available and secure, but is not liable for: unavailability resulting from fortuitous events, force majeure, failures of infrastructure suppliers or of the user's own connection; content published by users; or business, negotiations or obligations entered into between users.

Users that are legal entities or professionals. In business-to-business relationships, the Platform's total liability, for any cause, is limited to the amount actually paid by the user in the 12 (twelve) months preceding the event that gave rise to the claim, excluding indirect damages, loss of profits and loss of opportunity.

Users who are individuals and final recipients of the service (pessoa natural destinatária final, that is, consumers). In consumer relationships, the Platform's liability is fully governed by the Código de Defesa do Consumidor (CDC, the Brazilian Consumer Protection Code), and the limit set out in the preceding paragraph does not apply.

Any satisfaction guarantees offered in the plans are an additional benefit granted by the Platform and do not replace, restrict or impair the right of withdrawal (direito de arrependimento) provided for in article 49 of the Código de Defesa do Consumidor, which may be exercised within 7 (seven) days of a purchase made outside the business premises.

10. Investment Module

The Platform provides a specific module that connects user companies with registered investors, through a connection environment and conversations by video conference.

In this module, the Platform acts exclusively as a technology provider and connection environment. The Platform is not an institution that is part of the securities distribution system, does not carry out intermediation activities reserved to authorized institutions, is not an electronic investment crowdfunding platform registered under Resolution No. 88/2022 of the Comissão de Valores Mobiliários (CVM, the Brazilian Securities and Exchange Commission), does not provide securities consulting services and does not carry out, promote or intermediate any public offering.

Any user is prohibited from using the Platform for a public offering of securities, and from presenting, in profiles or in conversations, fundraising amounts, equity stake percentages, valuation, return projections or requests for capital contributions and reservations. A breach subjects the offender to immediate suspension of access.

The information provided by companies is self-declared and not verified by the Platform, which does not evaluate, endorse or recommend it. All negotiation, due diligence, contract execution and any transaction take place directly between the parties, outside the Platform, under their sole responsibility.

Access to the module depends on acceptance of specific terms, applicable to investors and to companies, which form part of these Terms for all purposes.

11. Changes to the Terms

These Terms may be changed at any time to reflect legal, technical or business changes. The current version will always be available on the Platform, indicating its number and publication date.

Material changes will be communicated to users. Continued use after publication implies agreement with the new version; if the user does not agree, they may close their account and request cancellation of their plan.

12. Term and Termination

These Terms remain in force for an indefinite period, for as long as the relationship between the user and the Platform lasts. The user may close their account at any time, subject to the cancellation conditions set out in the applicable service agreement.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federative Republic of Brazil. The courts of the judicial district (comarca) of Diadema/SP are elected to settle any disputes arising from them, waiving any other, however privileged it may be, except that, in a consumer relationship, the consumer retains the legal option to bring proceedings in the courts of their domicile.
